Terms of Use
Last updated: 2 November 2026
These Terms are an agreement between you and Truepoint Technologies, Inc. (“Truepoint”, “we”, “us”), a corporation organized under the laws of the Republic of the Philippines, Unit S13, 2F Robertson Plaza, Centennial Road, Tabon 1, Kawit, Cavite, Region IV-A (CALABARZON), 4104, Philippines. They cover your use of Dispatch: the web app at app.rundispatch.ai, the public API, the embeddable widget, Facebook Messenger, other channels we offer, and related documentation (together, the “Service”).
“You” means the person who creates the account. If you use the Service for a company or other organization, “you” also means that organization, and you confirm that you are authorized to accept these Terms on its behalf. A “Business Customer” is someone who uses the Service for a trade, business or profession. A “Consumer” is anyone else.
Dispatch is offered from the Philippines. We do not direct the Service at customers in any other country. If you use the Service from outside the Philippines, you do so on your own initiative, and you agree that these Terms are governed by Philippine law, as section 18 describes.
1. Accepting these Terms
You accept these Terms, including our Refund Policy, when you create your account, either by continuing with a sign-in provider or by verifying your email address. The sign-up screen tells you this before you continue, with links to these Terms, the Refund Policy, and our Privacy Policy, which explains how we handle personal data. The Privacy Policy is a notice, not a contract, and accepting these Terms does not mean you consent to anything in it. We record the date and time you accepted. You can read, save and print these Terms at any time at rundispatch.ai/terms-of-use, and we will send you a copy if you ask.
2. Who can use Dispatch
You must be at least 18 years old and able to enter into a binding contract. You must give us accurate account details and keep them up to date. You are responsible for everything that happens in your account and workspaces, including activity by people you invite and by anyone using your API keys. Keep your sign-in methods, passkeys and API keys secure, and tell us right away at support@rundispatch.ai if you suspect unauthorized use.
3. The Service
Dispatch lets you build AI agents, give them knowledge, test them in the Playground, and put them live through our widget, Facebook Messenger, our API, and other channels we offer. We may improve, change or retire features. If a change materially reduces what you are paying for, we will tell you in advance. You can then cancel under section 5 and get a pro-rated refund of fees you prepaid for the rest of the period. Your remedies for paid features that stop working are described in section 10.
4. Plans, prices and payment
Plans. The Service has a free Flexible plan and paid monthly plans. Each plan’s price, included run-minutes and other features are shown on our pricing page and in the app before you buy. All prices are in US dollars.
Two balances. Using an agent draws on two balances:
- Usage minutes pay for the time an agent spends working, counted by the second. Your plan’s included minutes are used first, then any extra minutes you bought. Extra minutes do not expire while your account is open.
- AI credits pay for AI model usage at the provider’s cost. Free models use none.
If you connect your own AI provider key (“bring your own key”), your provider bills you directly for that usage, and the prompts for that agent are sent to that provider with your key.
Free models. Models listed under Free in the model picker use no AI credits, and we set no fixed cap on how much you use them. An agent on a free model still uses usage minutes, the same as on any other model.
Fair usage policy. Free models are offered for the normal running of your own agents, under this fair usage policy. Use is not fair if it is far above what comparable workspaces use, puts the Service or other users at risk, or tries to get around these Terms, for example by spreading use across several accounts or reselling access to a free model. If your use is not fair, we may limit, slow down or stop your free-model use, as section 13 describes. Where we can, we tell you first and give you time to move your agents to another model or to your own key. Limiting your free-model use never stops your agents from running on a model you pay for. We may change or remove a free model after giving you at least 30 days’ notice, and we tell you which model your agents will move to.
Top-ups and Auto-Reload. You can buy extra minutes or credits at any time. If you turn on Auto-Reload, you authorize us to charge your saved payment method the amount you chose whenever your balance drops below the threshold you set. You can turn Auto-Reload off at any time in Billing.
Processing fee. Top-ups may include a processing fee. Whether a fee applies, and how much, is shown before you confirm each top-up. The full rules are at docs.rundispatch.ai/billing/processing-fees.
Promotional credits. If we offer promotional credits, they have no cash value and cannot be transferred. They expire on the date shown in the app, and they may be limited to certain models. We email you before they expire.
Paddle is our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For help with the Service, contact support@rundispatch.ai. For a payment, an invoice, tax, or a refund, you can also use your Paddle receipt. Paddle’s buyer terms and refund policy apply to the order. Every amount you will pay, including taxes, is shown before you confirm the order.
No extra charges without your agreement. We charge you only what you agreed to at checkout or through Auto-Reload. We never treat silence or a box you forgot to uncheck as your agreement to an extra payment.
Price changes. We will give you at least 30 days’ notice before changing the price of your plan, the minutes included in it, or the processing fee. The new price applies from your first renewal after the notice period ends, and you can cancel before then.
5. Term, renewal and cancellation
Renewal. Paid plans are billed monthly in advance and renew automatically each month at the plan’s current price until you cancel. Before you subscribe, we show the price, how often you will be charged, and how to cancel. Each renewal receipt shows the amount charged and how to cancel.
Cancelling. You can cancel at any time in Settings → Billing, the same place you subscribed, without contacting support. Cancelling stops the next renewal. Your plan stays active until the end of the period you have already paid for, and then your workspace moves to the free Flexible plan. We do not refund a period that has already started, except as stated in section 6.
Changing plans. Upgrades take effect immediately, and the price difference for the rest of the period is shown before you confirm. Downgrades take effect at the next renewal.
Closing your account. You can close your account in Settings at any time. Unused paid balances are refundable only as stated in section 6.
6. Refunds
Our Refund Policy is part of these Terms.
First paid plan. You can ask for a full refund of the first payment that starts a paid plan, if you ask within 14 days of that payment. Upgrade charges made in that same 14-day window are refunded with it. When that refund is issued, paid-plan access ends. This refund is available once per account. We may refuse it in cases of fraud or a repeated pattern of subscribing and refunding. Refunding the plan payment does not by itself refund a separate top-up.
Top-ups. Each purchase of AI credits or extra minutes, including a charge made by Auto-Reload, can be refunded within 14 days of that purchase, but only for the credits or minutes from that purchase that you have not used. We refund the amount you paid for the unused part, including the processing fee on that part. After 14 days, that purchase is not refunded.
Otherwise. Outside those two cases, we do not refund a billing period that has already started, and we do not refund a renewal. You can still cancel under section 5 and keep access until the end of the period you have paid for.
Further refunds. You also get a pro-rated refund of fees you prepaid for the affected period when we materially reduce what you are paying for (section 3), you object to a new sub-processor on reasonable data protection grounds (section 8), a paid feature does not work as described and we cannot fix it (section 10), or we change these Terms and you do not agree (section 16). You also keep any refund that the law or Paddle’s refund policy gives you.
Paddle processes all refunds. To ask for one, contact us at support@rundispatch.ai or reply to your Paddle receipt. Nothing in these Terms limits a refund or other remedy that consumer protection law gives you.
7. Your content
You own your content. “Your Content” means everything you or your end users put into the Service: agent instructions, knowledge files, FAQs, messages, conversations, and the outputs your agents generate for you. You keep all rights in it.
What you allow us to do. You give us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit and display Your Content, and to adapt it into technical formats (such as extracted text and search embeddings), only as needed to provide, secure and support the Service for you. This includes sending it to the AI providers and other service providers listed in our Privacy Policy. We do not use Your Content to train AI models, and we do not use it to promote the Service without your permission. This license ends when you delete the content or close your account, except for copies we must keep by law and copies in backups, which are overwritten within 7 days.
Your responsibility. You confirm that you have all the rights and permissions needed to upload Your Content and to let us process it under these Terms, and that it does not infringe anyone’s rights. We do not review Your Content before it is processed.
Shareable files. If you make a file shareable, anyone with its link can open it until you turn sharing off or delete the file.
8. Your end users and their data
When you put an agent live, the people who talk to it (“End Users”) use your service, not ours. You are responsible for:
- telling End Users, at the start of each conversation, that they are talking to an AI system, unless that is already obvious;
- giving End Users your own privacy notice that covers Dispatch’s processing, and having a lawful basis under the Data Privacy Act of 2012 and any other law that applies to your business for collecting their data, including any sensitive personal information;
- the instructions, knowledge and settings that determine what your agents say and do;
- meeting the laws that apply to your business, your End Users and your industry.
How we process End User data for you. For End Users’ personal data, you are the personal information controller and we are your personal information processor. This section is our processing agreement with you. We will:
- process End User data only on your documented instructions, which are these Terms and the way you configure and use the Service, including when it is sent to the providers and countries listed in our Privacy Policy, unless the law requires otherwise;
- make sure that everyone we authorize to process it is bound by confidentiality;
- protect it with the security measures described in our Privacy Policy, and comply with the Data Privacy Act of 2012 and the rules of the National Privacy Commission;
- use only the sub-processors listed in our Privacy Policy, under contracts that impose the same data protection obligations as this section. We will tell you at least 30 days before we add or replace a sub-processor, and if you object on reasonable data protection grounds, you can end these Terms and get a pro-rated refund of fees you prepaid for the period after the change;
- help you, as far as we reasonably can, answer End Users who exercise their rights, and meet your own obligations under the Data Privacy Act;
- tell you without undue delay, and in any case within 8 hours, after we become aware of a personal data breach affecting End User data, with the information you need to notify the National Privacy Commission and End Users;
- delete End User data when you delete it or close your account, as described in our Privacy Policy, unless the law requires us to keep it. You can ask us for a copy before then;
- give you the information you reasonably need to show that we meet this section, and allow audits by you or an auditor you appoint, on reasonable notice and at your cost, not more than once a year unless there has been a breach or a regulator asks;
- tell you right away if we believe one of your instructions breaks the Data Privacy Act or another data protection law.
The Data Privacy Act requires this agreement to describe the processing. Its subject matter and duration: providing the Service for as long as your account is open. Its nature and purpose: hosting End User conversations and running your agents on them. The types of data: the names, contact details, messages and context fields your integration sends us. The data subjects: your End Users. The locations: those listed in our Privacy Policy.
If you need a signed data processing agreement, contact us at legal@truepoint.ph.
9. AI features and outputs
Dispatch’s agents run on AI models from third-party providers. AI outputs can be wrong, incomplete, outdated or inappropriate, even when based on your knowledge files or on websites you allowed. Review outputs before relying on them. Do not use outputs as your only basis for medical, legal, financial, employment, credit, housing, insurance or other decisions with significant effects on people.
The Web Search ability searches only the domains you allow. Pages on those domains are not controlled by us.
We do not use the Service’s AI features to manipulate people’s behavior through deceptive techniques, to exploit vulnerabilities tied to age, disability or economic situation, to score people’s social trustworthiness, to predict criminal behavior from profiling, or to infer emotions in a workplace or school. You must not configure or use your agents to do any of these things either.
10. Our commitments, and limits on our liability
What we commit to. We provide the Service with reasonable skill and care, substantially as described in our documentation, and we keep it secure and updated for as long as you use it. If a paid feature does not work as described, tell us. We will fix it within a reasonable time. If we cannot, you can ask for a fair price reduction or cancel and receive a pro-rated refund of fees you prepaid for the period affected.
What we do not promise. Apart from that, the Service is provided “as available.” We do not promise that it will be uninterrupted or error-free, or that AI outputs will be accurate.
What we never limit. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for our fraud, willful misconduct or gross negligence, or for any other liability that the law does not allow us to limit or exclude.
Business Customers. Subject to the paragraph above: (a) we are not liable for indirect or consequential loss, lost profits, lost revenue or lost data; and (b) our total liability for all claims arising from these Terms is limited to the greater of (i) the fees you paid us in the 12 months before the event that gave rise to the first claim and (ii) US$100.
Consumers. Subject to the paragraph above, if we negligently breach a duty that is not essential to these Terms, our liability is limited to the loss that was foreseeable and typical for a contract of this kind.
11. Indemnity (Business Customers only)
If you are a Business Customer, you will cover our reasonable costs and any amounts we have to pay because of a third-party claim arising from Your Content, your agents’ instructions or configuration, your End Users’ use of your agents, or your breach of these Terms. This does not apply to a claim caused by our own breach of these Terms or our negligence. We will tell you promptly about any such claim, let you take part in defending it, and not settle it in a way that admits fault on your behalf without your agreement.
12. Acceptable use
You must not use the Service, or let your agents or End Users use it, to:
- break any law, or infringe anyone’s intellectual property, privacy or other rights;
- create or spread content that is illegal, sexually exploits minors, harasses or threatens people, promotes violence or terrorism, or is defamatory or fraudulent;
- impersonate a person or organization, or hide that an End User is talking to an AI system when they ask;
- send spam or unsolicited commercial messages, or messages with false sender information or misleading subject lines;
- collect sensitive personal information (such as information about health, religion, political affiliation, government-issued numbers or legal proceedings) or payment card data without a lawful basis and appropriate safeguards;
- create malware, or break into, probe, scan or overload the Service or any other system;
- get around usage limits, billing, model restrictions or security controls, or create multiple accounts to claim a benefit again;
- access the Service by scraping or other automated means, except through our documented API;
- copy, resell or white-label the Service without our written agreement, or use it to build a competing product;
- break the usage policies of the AI provider whose model your agent uses.
13. Enforcement and suspension
We do not monitor all content. We may review, restrict, remove or disable content, and limit, suspend or terminate an account, if we reasonably believe the content or use breaks the law or these Terms, or puts the Service, other users or the public at risk. We act in proportion to how serious the problem is. Where we can, we warn you first, unless the law prevents it or there is an urgent risk.
When we take action, we tell you what we decided, why, whether a report or our own review triggered it, and how to challenge it. You can challenge a decision by writing to support@rundispatch.ai. A person, not an automated system, reviews every challenge, and we reverse decisions that turn out to be wrong.
Anyone can report content they believe is illegal by writing to legal@truepoint.ph with the location of the content and why they believe it is illegal. We confirm receipt and tell the reporter what we decided.
We may also close an account that has been unused for a long time, after giving at least 60 days’ notice by email.
14. Our intellectual property
Truepoint and its licensors own the Service, including its software, design, documentation and trademarks. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. We keep every right these Terms do not expressly give you. If you send us feedback, we may use it without any obligation to you.
15. Third-party services
The Service connects to third-party services, such as AI providers, sign-in providers, Paddle, Facebook Messenger, tools you connect, and the websites your agents search. Their own terms apply to your use of them, and we are not responsible for them.
16. Changes to these Terms
We may update these Terms. For changes that are more than minor corrections or updates needed to keep the Service lawful or secure, we will email you at least 30 days before they take effect and explain what is changing and why. A change never applies to a dispute that already exists. If you do not agree to a change, you can cancel and close your account before it takes effect. For a paid plan, we will refund any fees you prepaid for the period after the change.
17. Ending this agreement
You can stop using the Service and close your account at any time. We may end these Terms or close your account with at least 30 days’ notice, or immediately for a serious breach or where the law requires it. Ask us for a copy of what you want to keep before you close your account. We will provide the copy you are entitled to under our Privacy Policy. After closure, we delete Your Content as described in our Privacy Policy. If we close your account for a reason other than a serious breach, we will give you a reasonable chance to retrieve Your Content first. Sections 6, 7 (only as needed to finish deletion), 10, 11, 14, 18 and 19 continue to apply after the agreement ends.
18. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. By using the Service, including from outside the Philippines, you agree that Philippine law governs these Terms.
If you have a complaint about the Service, contact support@rundispatch.ai first. We acknowledge it within 24 hours and aim to resolve it within 7 calendar days. If it is still unresolved after 7 calendar days, you may take it to the Department of Trade and Industry or another government agency. Before you start a case in court, send notice of the dispute to legal@truepoint.ph and give us 30 days to try to resolve it. That request does not stop you from going to the Department of Trade and Industry or another government agency.
The courts with jurisdiction over Kawit, Cavite, Philippines have exclusive jurisdiction over disputes arising from these Terms. A rule that a court must apply to you still applies.
19. General
- Notices. We send notices to your account email or show them in the app. You can send notices to legal@truepoint.ph. Electronic notices and records have the same legal effect as paper ones.
- Assignment. We may transfer these Terms to a company that takes over the Service, as long as your rights are not reduced. Otherwise we will ask for your agreement first. You may not transfer your account without our consent, which we will not refuse unreasonably.
- Severability. If a court finds part of these Terms invalid, the rest stays in effect.
- Entire agreement. These Terms, including the Refund Policy, are the entire agreement between us about the Service. Our Privacy Policy explains how we handle personal data. This does not affect any right the law does not allow us to exclude.
- No waiver. If we do not enforce a term right away, we can still enforce it later.
